Terms of Service Published on kaitier.com

Part I

Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Kaitier LLC ("Kaitier," "we," "our," or "us") governing your access to and use of the Kaitier platform, website, mobile applications, APIs, software, integrations, and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY.

BY CREATING AN ACCOUNT, CLICKING "I AGREE," ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ANY OTHER POLICIES REFERENCED HEREIN.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Eligibility

To use the Service, you represent and warrant that:

You are at least eighteen (18) years old or the age of legal majority in your jurisdiction.

You have the legal capacity to enter into this agreement.

You are not prohibited from using the Service under any applicable law.

You will comply with all applicable federal, state, local, and international laws while using the Service.

If you are creating an account on behalf of a company, employer, partnership, nonprofit, government agency, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

If you do not have such authority, you may not use the Service on behalf of that organization.

2. About Kaitier

Kaitier is a financial operations platform designed to simplify financial organization through automation.

Depending on your subscription plan and enabled features, the Service may include: receipt capture and storage; optical character recognition (OCR); AI-assisted receipt extraction; AI-assisted expense categorization; transaction imports; bank account synchronization; receipt-to-transaction matching; expense management; organization management; employee expense reporting; sales synchronization; invoicing; financial dashboards; tax-ready exports; reporting; workflow automation; activity summaries; integrations with third-party providers; and future products and services introduced by Kaitier.

The Service is continually evolving.

We reserve the right to improve, modify, replace, suspend, discontinue, or remove any feature, functionality, integration, or portion of the Service at any time.

Whenever practical, we will attempt to provide reasonable notice before making material changes.

Nothing in these Terms guarantees that any feature will remain available indefinitely.

3. Beta services

Certain portions of the Service may be identified as: Beta; Preview; Experimental; Early Access; Testing; or Limited Release.

Beta features are intended for evaluation and product improvement.

You understand and agree that Beta features: may contain bugs; may generate inaccurate results; may be unavailable without notice; may change significantly; may be discontinued permanently; may experience outages; and may not perform as expected.

Beta features are provided strictly "AS IS" and "AS AVAILABLE."

Kaitier makes no guarantee regarding the reliability, stability, completeness, future availability, or performance of Beta functionality.

Your use of Beta features is entirely voluntary.

By participating in Beta testing, you acknowledge that you may encounter defects and agree that Kaitier shall not be liable for losses arising solely from Beta functionality.

4. Account registration

Certain portions of the Service require you to create an account.

You agree to: provide truthful, accurate, and complete registration information; keep your account information current; maintain a valid email address; protect your password and authentication credentials; and notify Kaitier immediately of any suspected unauthorized access.

You are solely responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activity occurring under your account unless such activity results directly from Kaitier's failure to implement commercially reasonable security measures.

We may require identity verification, email verification, phone verification, or multi-factor authentication before allowing access to certain features.

We reserve the right to refuse registration, suspend accounts, or terminate accounts that violate these Terms.

5. Organizations and team accounts

Kaitier supports both individual users and organizations.

Organizations may include multiple users with varying permission levels, including but not limited to: Owner; Administrator; Manager; Employee; Accountant; and additional roles created in future releases.

The Organization Owner controls: organization membership; billing; subscription management; administrative settings; user permissions; and financial visibility.

Each user is individually responsible for safeguarding their own credentials.

Organization Owners are responsible for ensuring users are authorized to access the financial information made available to them.

Nothing in these Terms transfers ownership of organizational financial data to Kaitier.

6. User responsibilities

You agree that you are solely responsible for: maintaining accurate financial records; reviewing imported information; reviewing AI-generated suggestions; reviewing bookkeeping recommendations; reviewing receipt extraction; reviewing transaction matching; reviewing expense categorization; reviewing tax reports; maintaining backup copies of important records when appropriate; and ensuring all users invited into your organization are authorized to access the information you share.

You acknowledge that Kaitier assists with financial organization but does not make financial decisions on your behalf.

You remain solely responsible for all accounting, tax, legal, financial, payroll, compliance, and business decisions.

7. Acceptable use

You agree that you will NOT: violate any applicable law; commit fraud; submit false financial information; upload malware, ransomware, viruses, or malicious code; attempt unauthorized access to the Service; reverse engineer the Service except where prohibited by applicable law; circumvent subscription limits; share accounts outside your permitted organization; interfere with the operation of the Service; attempt to disrupt or overload our infrastructure; use automated bots or scraping tools without our written permission; copy, reproduce, or resell the Service without authorization; process financial information you are not legally authorized to possess; infringe upon another person's intellectual property rights; use the Service to facilitate illegal activity; misrepresent your identity; or impersonate another individual or organization.

Violation of this section may result in immediate suspension or termination of your account.

8. Your data

As between you and Kaitier, you retain ownership of your financial records, receipts, invoices, documents, uploaded files, imported information, reports, and other content you submit or authorize Kaitier to access ("User Data").

By using the Service, you grant Kaitier a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, analyze, display, copy, and use User Data solely for the purpose of: providing the Service; synchronizing connected accounts; performing AI-assisted processing; improving automation; detecting fraud; securing the platform; complying with legal obligations; providing customer support; and maintaining system integrity.

This license automatically terminates when your User Data is permanently deleted from our systems, subject to our Data Retention & Deletion Policy and any legal obligations requiring temporary retention.

Kaitier does not acquire ownership of your financial information.

9. Background processing

Certain Kaitier features operate automatically after you authorize them.

By enabling supported integrations, you authorize Kaitier to perform automated processing on your behalf.

Depending on the features you enable, Kaitier may: scan authorized email accounts for receipts; import bank transactions; import payment information; synchronize sales platforms; match receipts to transactions; categorize expenses; detect duplicates; generate financial summaries; generate activity summaries; monitor synchronization status; and perform background maintenance necessary to provide the Service.

These automated processes may continue while you are not actively logged into Kaitier.

You may disable certain integrations through your account settings where supported.

10. Artificial intelligence features

The Service includes artificial intelligence ("AI") features designed to assist users with financial organization.

AI-generated content may include: receipt extraction; merchant identification; expense categorization; receipt matching; transaction matching; financial summaries; bookkeeping suggestions; report generation; workflow recommendations; insights; and other automated outputs.

Artificial intelligence is inherently probabilistic.

AI-generated output may contain errors, omissions, inaccuracies, incorrect assumptions, or outdated information.

You agree that: AI output is provided for informational purposes; AI output does not constitute accounting advice; AI output does not constitute legal advice; AI output does not constitute tax advice; AI output does not constitute financial advice; and AI output should always be reviewed before relying upon it.

Kaitier makes no guarantee regarding the accuracy of AI-generated content.

You remain solely responsible for verifying all financial information before using it to make business, accounting, tax, investment, legal, or financial decisions.

Part II — Subscriptions, billing, integrations, and third-party services

11. Subscriptions

Kaitier offers both free and paid subscription plans.

Available plans, pricing, included features, storage limits, organization limits, automation limits, AI usage limits, and other subscription benefits are described on our website or within the Service.

We may modify subscription plans, pricing, included features, usage limits, or available services from time to time.

Some features may only be available on certain subscription tiers.

The availability of any feature under a particular subscription plan does not guarantee that feature will always remain available under that plan.

12. Free accounts

Free accounts are provided at our discretion.

We reserve the right to: limit features; limit storage; limit automation; limit integrations; limit API access; limit AI usage; require upgrades for continued access to certain functionality; and modify or discontinue free offerings at any time.

We may also suspend or terminate inactive free accounts after providing reasonable notice when practical.

13. Paid subscriptions

Paid subscriptions begin when payment has been successfully processed.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until canceled.

Subscription periods may include: monthly; annual; promotional; enterprise agreements; and custom agreements.

Subscription pricing is displayed before purchase.

Taxes may be added where required by law.

14. Automatic renewal

By purchasing a subscription, you authorize Kaitier (or its payment processor) to automatically charge your selected payment method for each renewal period until canceled.

If payment cannot be processed, we may: retry the payment; notify you; suspend premium features; downgrade your account; or terminate your subscription after reasonable collection attempts.

15. Cancellation

You may cancel your subscription at any time through your account settings.

Cancellation prevents future renewal charges.

Unless required by law or specifically stated otherwise, cancellation does not entitle you to a refund for the unused portion of your current billing period.

Your paid features remain available until the end of the billing cycle.

16. Refunds

Except where required by law or otherwise stated in writing, all subscription fees are non-refundable.

We may, at our sole discretion, provide partial or full refunds in individual cases.

Providing a refund in one instance does not obligate us to provide refunds in future cases.

Chargebacks initiated without first attempting to resolve the issue with Kaitier may result in suspension or termination of your account.

17. Price changes

We reserve the right to change subscription pricing.

Price changes will not apply retroactively.

Whenever reasonably practical, existing subscribers will receive advance notice before pricing changes become effective.

Continuing to use the Service after the effective date of new pricing constitutes acceptance of the updated pricing.

18. Third-party services

The Service may integrate with third-party products and services including, but not limited to: Google Gmail; Microsoft Outlook; Plaid; Stripe; Square; banks; financial institutions; payment processors; cloud storage providers; email providers; identity providers; artificial intelligence providers; and other third-party software platforms.

These third-party services are not owned or controlled by Kaitier.

Your use of those services is governed by their own terms, privacy policies, and agreements.

Kaitier is not responsible for the products, services, availability, policies, or actions of third-party providers.

19. Authorization to access connected services

When you voluntarily connect a third-party account to Kaitier, you authorize Kaitier to access, retrieve, process, store, and display the information necessary to provide the features you have enabled.

Depending on the integration, this may include: receipts; emails; attachments; transaction history; bank account information; sales information; customer information; invoice information; payment information; and other authorized financial records.

Kaitier accesses only the information reasonably necessary to provide requested functionality.

You may disconnect integrations at any time through your account settings where supported.

Disconnecting an integration may disable certain features.

20. Email integrations

If you connect Gmail, Outlook, or another supported email provider, you authorize Kaitier to: search authorized mailboxes for receipts and financial documents; process attachments; process email content necessary for receipt detection; import supported documents; detect duplicate receipts; generate receipt records; and create financial records associated with imported receipts.

Kaitier does not claim ownership of your email.

Email scanning is limited to providing requested features.

You may revoke email access through your email provider or within Kaitier where supported.

21. Financial institution integrations

If you connect bank accounts or financial institutions through Plaid or another supported provider, you authorize Kaitier to access information necessary to provide the Service.

Imported information may include: transactions; account balances; merchant names; transaction descriptions; dates; account identifiers; and other authorized financial information.

You acknowledge that: imported data may be delayed; imported data may be incomplete; financial institutions may modify their systems; financial institutions may discontinue API access; and synchronization failures may occur.

Kaitier is not responsible for inaccuracies originating from third-party financial institutions.

22. Payment processor integrations

If you connect payment processors such as Stripe or Square, you authorize Kaitier to synchronize financial information associated with your business.

Depending on the integration, Kaitier may import: sales; refunds; customers; invoices; payments; deposits; fees; and other supported financial records.

Synchronization timing depends on the third-party provider.

Real-time synchronization is not guaranteed.

23. Automated bookkeeping

Kaitier provides automated bookkeeping assistance.

Automation may include: receipt matching; transaction categorization; duplicate detection; expense organization; sales reconciliation; activity summaries; financial insights; and AI-assisted bookkeeping suggestions.

Automation is intended to reduce manual work.

Automation does not replace professional bookkeeping, accounting, tax preparation, legal review, or financial review.

You remain responsible for reviewing all financial records before relying upon them.

24. No professional advice

Kaitier is software.

Kaitier is not: a Certified Public Accountant (CPA); a law firm; a financial advisor; a tax advisor; an investment advisor; a payroll provider; or an auditing firm.

Nothing within the Service constitutes: legal advice; accounting advice; tax advice; investment advice; financial planning; or professional certification.

Always consult qualified professionals regarding financial, accounting, tax, legal, payroll, investment, or regulatory matters.

25. Service availability

We strive to maintain reliable availability.

However, we do not guarantee uninterrupted access.

The Service may become unavailable due to: scheduled maintenance; emergency maintenance; security incidents; internet outages; cloud provider failures; third-party outages; software defects; force majeure events; and other circumstances beyond our reasonable control.

Temporary interruptions do not constitute a breach of these Terms.

26. Updates

We may install updates, patches, bug fixes, security improvements, and feature enhancements without prior notice.

Some updates may: change functionality; improve security; modify the user interface; remove deprecated features; require newer browsers or devices; and require reauthorization of connected services.

Your continued use of the Service after updates constitutes acceptance of those changes.

27. Feedback

We welcome suggestions, ideas, comments, feature requests, bug reports, and other feedback.

If you voluntarily provide feedback to Kaitier, you grant Kaitier a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, reproduce, distribute, display, incorporate, and commercialize that feedback without restriction or compensation.

You are not obligated to provide feedback.

Kaitier is not obligated to implement any suggestion you submit.

28. Intellectual property

Except for User Data, all rights, title, and interest in and to the Service are owned exclusively by Kaitier or its licensors.

This includes, without limitation: software; source code; object code; algorithms; artificial intelligence models; databases; documentation; website content; logos; trademarks; trade dress; graphics; user interface; design; branding; workflows; and automation systems.

Nothing in these Terms transfers ownership of Kaitier's intellectual property to you.

Subject to these Terms, Kaitier grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

Part III — Privacy, security, termination, disclaimers, warranties, and liability

29. Privacy

Your privacy is important to us.

Our collection, use, storage, disclosure, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that you have reviewed our Privacy Policy.

If there is a conflict between these Terms and our Privacy Policy regarding personal information, the Privacy Policy shall control.

30. Data security

Kaitier uses commercially reasonable administrative, technical, and physical safeguards designed to protect User Data from unauthorized access, disclosure, alteration, and destruction.

Security measures may include: encryption in transit; encryption at rest where appropriate; authentication controls; access controls; monitoring; logging; security updates; and vulnerability management.

No method of electronic transmission or storage is completely secure.

Accordingly, Kaitier cannot guarantee absolute security.

You acknowledge that you transmit and store information using the Service at your own risk.

31. Your security responsibilities

You are responsible for: maintaining the confidentiality of your password; enabling multi-factor authentication when available; protecting devices used to access the Service; keeping your browser and operating system reasonably up to date; logging out of shared devices; and promptly reporting suspected unauthorized access.

You agree to notify Kaitier immediately if you believe your account has been compromised.

32. Data retention

Kaitier retains User Data only as long as reasonably necessary to: provide the Service; fulfill contractual obligations; comply with legal requirements; resolve disputes; prevent fraud; enforce these Terms; and maintain system integrity.

Deleted data may remain in encrypted backups for a limited period before permanent deletion.

Additional details are available in our Data Retention & Deletion Policy.

33. Account deletion

You may request deletion of your account at any time.

Deleting your account may permanently remove: receipts; financial records; AI history; organization membership; reports; uploaded documents; settings; and other associated information.

Some information may be retained where required by law or necessary to: complete financial transactions; detect fraud; resolve disputes; enforce agreements; and comply with legal obligations.

Deleted accounts generally cannot be restored.

34. Suspension

Kaitier may immediately suspend access to the Service if we reasonably believe that: your account has been compromised; fraudulent activity has occurred; you violated these Terms; your use threatens the security or stability of the Service; we are required by law; or a payment remains delinquent after reasonable collection attempts.

Suspension may affect access to your organization and connected services.

35. Termination

You may terminate your account at any time.

Kaitier may terminate or permanently disable accounts for: material violations of these Terms; fraud; abuse of the Service; repeated security violations; illegal activity; failure to pay applicable subscription fees; or conduct that creates unreasonable legal or operational risk.

Termination does not relieve either party of obligations that survive termination.

36. Effect of termination

Upon termination: your license to use the Service immediately ends; access to paid features ceases; access to your account may be disabled; and we may begin the deletion process for your data in accordance with our Data Retention & Deletion Policy.

Sections relating to: ownership; intellectual property; payment obligations; disclaimers; indemnification; limitation of liability; governing law; arbitration; and miscellaneous provisions shall survive termination.

37. Disclaimers

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAITIER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THIS INCLUDES, WITHOUT LIMITATION: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY; RELIABILITY; AVAILABILITY; TITLE; AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT: the Service will be uninterrupted; the Service will always be available; the Service will be error-free; AI output will be accurate; imported data will always be complete; third-party services will continue operating; receipts will always be detected; every transaction will be matched; or every expense will be categorized correctly.

38. No guarantee of financial accuracy

Kaitier is designed to assist with financial organization.

However, we do not guarantee: accounting accuracy; tax accuracy; bookkeeping accuracy; regulatory compliance; audit readiness; financial statement accuracy; IRS acceptance; or AI accuracy.

Users remain solely responsible for reviewing all financial information before relying upon it.

39. Limitation of liability

40. Liability cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAITIER'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) the total amount you paid to Kaitier during the twelve (12) months immediately preceding the event giving rise to the claim; or (B) one hundred U.S. dollars (US $100).

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, THIS SECTION SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

41. Indemnification

You agree to defend, indemnify, and hold harmless Kaitier, its members, officers, directors, employees, contractors, licensors, affiliates, successors, and assigns from and against any claims, damages, liabilities, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your User Data; your violation of these Terms; your violation of applicable law; your infringement of another person's rights; your misuse of AI-generated output; your misuse of financial information; or any dispute between you and another user.

42. Force majeure

Kaitier shall not be liable for delays or failures resulting from events beyond our reasonable control, including but not limited to: natural disasters; fires; floods; earthquakes; pandemics; government actions; labor disputes; internet outages; cyberattacks; utility failures; cloud provider outages; third-party API failures; war; terrorism; and civil unrest.

Performance shall be excused for the duration of the force majeure event.

43. Export compliance

You agree not to use the Service in violation of applicable export control laws, trade sanctions, or embargo regulations.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country subject to comprehensive sanctions that prohibit your use of the Service.

You further represent that you are not listed on any applicable government restricted-party list that would prohibit us from providing the Service.

44. Electronic communications

By using the Service, you consent to receive communications electronically.

These communications may include: security notices; billing notices; product updates; legal notices; service announcements; account notifications; and required disclosures.

Electronic communications satisfy any legal requirement that such communications be in writing.

Part IV — Disputes, legal provisions, changes, and general terms

45. Governing law

These Terms and any dispute arising out of or relating to the Service shall be governed by and interpreted under the laws of the State of Arizona, without regard to its conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

46. Dispute resolution

Before filing any lawsuit, both you and Kaitier agree to first attempt to resolve the dispute informally.

The party initiating the dispute shall provide written notice describing: the nature of the dispute; the factual basis for the claim; and the requested resolution.

The receiving party shall have thirty (30) days to respond.

Both parties agree to negotiate in good faith before pursuing formal legal action.

Nothing in this section prevents either party from seeking emergency injunctive relief where necessary to prevent immediate and irreparable harm.

47. No mandatory arbitration

Disputes that are not resolved under Section 46 shall be brought in the courts specified in Section 48.

Kaitier does not require binding arbitration as a condition of using the Service.

48. Venue

Any legal proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

Both parties consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.

49. Class action waiver

To the extent permitted by applicable law, both parties agree that any dispute shall be brought only on an individual basis and not as part of a class action, collective action, representative action, or private attorney general action.

If this waiver is determined to be unenforceable under applicable law, only the unenforceable portion shall be severed.

50. Changes to the Service

Kaitier continually develops and improves the Service.

Accordingly, we reserve the right to: add features; remove features; modify workflows; change user interfaces; introduce new subscription plans; retire existing functionality; replace integrations; improve artificial intelligence systems; modify automation; update APIs; improve security; and correct errors.

We are under no obligation to continue supporting any specific feature indefinitely.

51. Changes to these Terms

We may revise these Terms from time to time.

When we make material changes, we will update the "Effective Date" at the beginning of these Terms and, where appropriate, provide additional notice through the Service or by email.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Service.

52. Assignment

You may not assign, transfer, delegate, sublicense, or otherwise transfer any rights or obligations under these Terms without Kaitier's prior written consent.

Kaitier may assign these Terms, in whole or in part, without restriction, including in connection with: a merger; acquisition; sale of assets; corporate restructuring; financing; change of control; bankruptcy; or reorganization.

These Terms shall bind and benefit each party's successors and permitted assigns.

53. No waiver

Failure by Kaitier to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Kaitier.

54. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

The remaining provisions shall remain in full force and effect.

55. Entire agreement

These Terms, together with: our Privacy Policy; Acceptable Use Policy; AI & Automation Policy; Data Retention & Deletion Policy; Cookie Policy; Information Security Policy; and any additional policies or agreements expressly incorporated by reference, constitute the complete agreement between you and Kaitier concerning the Service.

These documents supersede all prior discussions, negotiations, understandings, representations, and agreements relating to the Service.

56. No third-party beneficiaries

Except as expressly stated herein, these Terms do not create any rights in favor of any third party.

No person or entity other than you and Kaitier may enforce these Terms.

57. Relationship of the parties

Nothing contained in these Terms creates: a partnership; a joint venture; an employment relationship; an agency relationship; a franchise relationship; or a fiduciary relationship.

You and Kaitier are independent contracting parties.

58. Compliance with laws

You agree to comply with all applicable laws, regulations, and governmental requirements relating to your use of the Service.

You are solely responsible for ensuring that your use of Kaitier complies with laws applicable to your business, industry, profession, or jurisdiction.
